Terms of Service
These Terms of Service (“Terms”) govern your access to the Song Serpent website, accounts, purchases, documentation, and related online services (the “Site”). The desktop application is also governed by the End User License Agreement (EULA). Capitalized terms not defined here have the meaning in the EULA.
By using the Site or creating an account, you agree to these Terms, the EULA (if you use the Software), the Privacy Policy, Acceptable Use Policy, and Third-Party Engines & Venue Licensing notice.
1. Who we are
Song Serpent operates the Site and licenses the Software. Contact: support@songserpent.com.
2. Eligibility
You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. If you use the Site for an organization, you represent that you have authority to bind that organization.
3. Accounts
- Provide accurate registration information and keep it updated.
- You are responsible for all activity under your account.
- Notify us promptly of unauthorized access.
- We may suspend or terminate accounts for breach, fraud, chargebacks, or legal risk.
4. Orders, pricing, and taxes
License prices are shown at checkout in the currency indicated. You authorize our payment processors (such as Stripe or PayPal) to charge you. Taxes may apply based on your location. Except as stated in Section 7 (Refunds), purchases are final.
5. License fulfillment
After successful payment we associate a license with your account subject to the EULA. Activation limits, machine fingerprints, and online checks may apply. Refunded or chargebacked orders may revoke licenses and deactivate machines.
6. Subscriptions and cancellation
Pro licenses sold on the Site are recurring subscriptions (monthly or yearly) billed through our payment processors until canceled.
6.1 When the subscription starts
Your paid period for a license begins when payment for that order succeeds — not when you open checkout or select a plan. Abandoned or failed checkouts do not create a billable subscription.
6.2 How to cancel
You cancel auto-renew from your Account dashboard on the website (on the relevant license card), while signed in. Canceling stops future renewals. You retain Pro access until the end of the current paid period already charged. Canceling does not, by itself, entitle you to a refund for time remaining in the current period; refunds are governed by Section 7.
6.3 Effect of cancellation
- Auto-renew is turned off for that license at the provider.
- Machine activations remain usable through the current period end, then Pro access ends and seats are deactivated.
- You may buy a new subscription later; each purchase is a separate order with its own start date on successful payment.
7. Refunds
This section applies to purchases of Song Serpent software licenses made through our Site.
7.1 Eligibility
You may request a refund within fourteen (14) days of purchase if all of the following are true:
- you submit the request to support@songserpent.com with your order number and account email; and
- the license has not been activated on any machine (no successful activation / entitlement issuance).
If the license has been activated, the purchase is generally non-refundable, except where mandatory consumer law requires a refund or we agree otherwise in writing.
7.2 Effect of a refund
When a refund is issued:
- the associated license is revoked;
- all machine activations for that license are deactivated; and
- you must stop using the Software under that license.
7.3 Chargebacks
Please contact us before filing a payment dispute. Unresolved chargebacks may result in account suspension and license revocation.
7.4 Coupons and promotions
Promotional pricing may be subject to additional terms stated at checkout. Refunds, when available, are based on the amount actually paid.
7.5 Third-party fees
Engine subscriptions, venue performance licenses, hardware, and other third-party costs are not sold by Song Serpent and are not refundable through us.
8. Acceptable use of the Site
You must follow the Acceptable Use Policy. Do not probe, scrape, or attack the Site; create accounts to abuse promotions; or use the Site to infringe others’ rights.
9. Third-party services and engines
The Site and Software may reference third-party Engines and payment providers. Those services are not controlled by Song Serpent. Your relationships with them are solely between you and them. See the Third-Party Engines & Venue Licensing notice.
10. Intellectual property
Site content, branding, and Software are owned by Song Serpent or its licensors. You receive no rights except those expressly granted. Feedback you submit may be used by us without obligation to you.
11. Disclaimers
THE SITE IS PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES REGARDING THE SITE, INCLUDING AVAILABILITY, ACCURACY OF DOCUMENTATION, AND NON-INFRINGEMENT.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONG SERPENT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR SITE-RELATED CLAIMS WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
13. Indemnification
You will indemnify Song Serpent against claims arising from your Site use, account activity, purchases, or violation of these Terms or law.
14. Changes
We may update these Terms by posting a revised version with a new effective date. Continued use after the effective date constitutes acceptance, except where mandatory law requires additional notice or consent.
15. Governing law
These Terms are governed by the laws of the State of Texas, excluding conflict-of-law rules. Courts in Texas have exclusive jurisdiction, subject to mandatory consumer protections where applicable.
