End User License Agreement
Important: This End User License Agreement (“EULA”) is a binding contract between you (“you,” “Licensee”) and Song Serpent (“Song Serpent,” “we,” “us,” or “Operator”) for the Song Serpent desktop software, updates, documentation, and related online services (collectively, the “Software”). By installing, activating, or using the Software, or by creating an account or purchasing a license, you agree to this EULA, the Terms of Service, Privacy Policy, Acceptable Use Policy, and Third-Party Engines & Venue Licensing notice.
If you do not agree, do not install or use the Software. These documents are operational terms and should be reviewed by your own counsel for your jurisdiction and use case.
1. License grant
Subject to timely payment and continued compliance, Song Serpent grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on up to the number of active machines permitted by your purchased license (currently up to two (2) concurrent activations unless otherwise stated at checkout), solely for your internal business or personal hosting operations.
The Software is licensed, not sold. Song Serpent and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights.
2. Account, activation, and license keys
- You must keep account credentials and license keys confidential.
- Activations may bind to a machine fingerprint and related device metadata.
- You may not share, rent, lease, publish, or redistribute license keys or entitlement tokens.
- We may refuse, suspend, or revoke activations that appear fraudulent, abusive, or in breach of this EULA.
3. What the Software is — and is not
Song Serpent is a host orchestration / control panel designed to work with one or more third-party karaoke, DJ, or playback engines (“Engines”). It is intended to help you search, queue, and run live karaoke or similar events from a single interface.
Song Serpent does not:
- sell, license, or redistribute Engine catalogs, audio masters, lyrics displays, or other Engine content;
- include any in-app feature to download, rip, or permanently save Engine catalog songs to disk;
- replace an Engine subscription, OEM agreement, or content license;
- replace public-performance, neighboring-rights, or other venue music licenses; or
- guarantee uninterrupted compatibility with any Engine, protocol, remote-control feature, or API.
Song Serpent is used only to help you search, queue, and play songs you already have the right to play through your own Engine subscriptions and/or local libraries you already own or license. Playback of Engine catalog material happens inside those Engines (or via their authorized remote/session features), not by Song Serpent downloading the tracks.
4. Third-party engines; no affiliation
Compatibility mentions (including KaraFun® and VirtualDJ®) identify interoperability only. Song Serpent is an independent product. It is not affiliated with, sponsored by, endorsed by, or partnered with Atomix Productions, Recisio, Tency Music, or any other Engine vendor unless we expressly say so in a signed writing.

Your use of any Engine is governed solely by that vendor’s terms, EULA, privacy policy, remote-control rules, API/OEM terms, and acceptable-use rules. You are solely responsible for obtaining and maintaining all required Engine accounts, subscriptions (including any business/commercial plan), seats, devices, and permissions.
5. Your compliance obligations (critical)
You represent and warrant that you will:
- comply with all applicable laws in the places you install or operate the Software;
- comply with each Engine’s terms and policies for your account and usage model;
- use only credentials and rooms/sessions you are authorized to use;
- not use the Software to steal, permanently download, crack, or redistribute protected Engine content contrary to that Engine’s rules;
- not misrepresent Song Serpent as an official Engine product; and
- obtain all licenses required for public or commercial performance of music at your venue or event (see Section 6).
If an Engine prohibits automation, embedding, unofficial remote control, scraping, or similar techniques for your use case, you must not use Song Serpent with that Engine until you have a lawful basis (for example, written permission, an official API/OEM arrangement, or a change in that Engine’s terms). Song Serpent does not obtain that permission for you.
6. Public venues and music licensing
Whenever music (including karaoke) is performed in a place open to the public — such as a bar, restaurant, hotel, club, reception hall, ticketed event, or other commercial or public setting — law typically requires a public performance license (and possibly other licenses) from the relevant collective management organization(s) in that territory.
Examples (non-exhaustive): in the United States, organizations such as ASCAP, BMI, SESAC, and GMR may apply depending on repertoire and location; other countries have local societies (for example, SACEM, PRS, SOCAN, GEMA). Engine content subscriptions (including KaraFun Business catalog rights) generally do not replace those venue performance licenses.
You are solely responsible for determining and obtaining every license needed for your event or establishment. Song Serpent provides software tooling only and does not supply music-rights clearance for your venue.
7. Restrictions
Except to the extent prohibited by law, you may not:
- reverse engineer, decompile, or disassemble the Software except where mandatory law allows;
- bypass, disable, or interfere with license, activation, update, or security mechanisms;
- modify, translate, or create derivative works of the Software for distribution;
- rent, lease, sell, sublicense, or provide the Software as a hosted service to third parties without our written consent;
- use the Software to attack, overload, or disrupt Engines or our services;
- remove proprietary notices; or
- use the Software in violation of the Acceptable Use Policy.
8. Updates and changes
We may provide updates, patches, or feature changes. We may modify Engine integrations when vendors change their products. We do not guarantee that any particular Engine integration will remain available.
9. Privacy
Our collection and use of personal and device data is described in the Privacy Policy.
10. Disclaimer of warranties
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONG SERPENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR COMPATIBLE WITH ANY ENGINE, OR THAT USE WILL NOT RESULT IN ACCOUNT ACTIONS BY THIRD-PARTY VENDORS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONG SERPENT AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST DATA; BUSINESS INTERRUPTION; THIRD-PARTY ACCOUNT SUSPENSION; OR VENUE FINES OR LICENSING PENALTIES — EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SOFTWARE OR THIS EULA WILL NOT EXCEED THE AMOUNTS YOU PAID TO SONG SERPENT FOR THE LICENSE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
12. Indemnification
You will defend, indemnify, and hold harmless Song Serpent and its officers, directors, employees, and agents from and against claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Software; (b) your events or venues; (c) your failure to obtain music or Engine licenses; (d) your violation of Engine terms or law; (e) content you queue or perform; and (f) any cease-and-desist, suspension, or enforcement action by an Engine vendor or rights society relating to your operations.
13. Termination
This EULA continues until terminated. You may stop using the Software at any time. We may suspend or terminate your license for breach, non-payment, fraud, legal risk, or to comply with law or a third-party demand. On termination you must cease use and destroy copies in your possession. Sections that by nature should survive (including 4–7 and 10–14) will survive.
14. Export and sanctions
You will comply with applicable U.S. and international export-control and sanctions laws and will not use the Software where prohibited.
15. Governing law and disputes
This EULA is governed by the laws of the State of Texas, excluding conflict-of-law rules. Exclusive venue for disputes lies in the state or federal courts located in Texas, unless mandatory consumer law requires otherwise. You and Song Serpent waive jury trial to the extent permitted by law.
16. Miscellaneous
This EULA, together with the Terms of Service (including refunds), Privacy Policy, Acceptable Use Policy, and Third-Party Engines notice, is the entire agreement regarding the Software. If any provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign this EULA without our consent; we may assign it in connection with a merger, acquisition, or sale of assets.
